These standard terms and conditions of sale are liable to change.
1. VENDOR IDENTITY INFORMATION
The eshop.c2g.fr website is published by C2G - Soudage Innovation, a simplified joint-stock company with a share capital of €148,410, incorporated in the Montbrison Register of Companies with number B 335 160 123 000 (EU VAT no. FR 12 335 160 123), whose principal place of business is at:

These terms and conditions of sale are made and entered into by and between the aforementioned vendor and any company wishing to make a purchase from the www.eshop.c2g.fr website (hereinafter the "Customer").
The Parties agree that these terms and conditions of sale, available as of the date of purchase, will exclusively govern their relations. Any term or condition not provided for herein will be governed by the standard business practices within the distance selling sector for companies headquartered in France. C2G - Soudage Innovation agrees to comply with all the provisions of France's Consumer Code relating to distance selling.
2. GENERAL
C2G online sales are subject to these standard terms and conditions, which will take precedence over any terms and conditions of purchase.
3. GEOGRAPHICAL AREA
The online sale of the products displayed on the website is reserved for buyers residing in mainland France, the euro area and the rest of the world. Payments shall be made in euros.
4. CREATION OF AN INTERNET ACCOUNT FOR ONLINE ORDERS
An Internet account will only be created on the eshop.c2g.fr e-commerce website after the Customer has submitted an initial online "quotation request", which must then be accepted and approved by C2G.
After the Customer has submitted the initial request, C2G - Soudage Innovation will send the Customer confirmation of the quotation, so that the Customer can accept and place the order.
Once the initial order has been placed, the authorized Customer will then have access to all the prices granted and will be free to place and pay for new orders.
5. DEFERRED PAYMENT FOR RECURRING ORDERS
To open an account in our company's books, the Customer must send an email to C2G containing its business name, contact name, department, full bank account details (with the IBAN and BIC code), contact details (address, telephone, fax, etc.), EU VAT number and company registration number.
New account requests are subject to approval by our financial department after checking the applicant's solvency with our insurer.
6. PRODUCTS AND PRICES
The applicable prices are those displayed on the www.eshop.c2g.fr website. Prices are expressed in euros, exclusive of VAT. C2G reserves the right to amend its prices at any time. The Customer will be liable for the preparation, postage and packing costs, which will be billed in addition to the specified price. The technical information featured in C2G's catalogs, notices and advertisements is provided for guidance only and may be amended or withdrawn at any time without prior notice to reflect changes in technology or economic conditions.
Therefore, the technical information, notices and advertisements do not constitute an offer to contract, and C2G is under no obligation to supply any items that have been modified or withdrawn.
Our items are subject to availability. Although we regularly update our databases, some products may be temporarily or permanently unavailable.
Actual products may vary from photos and drawings. The vendor will not be held liable for any errors.
7. ONLINE ORDERS
Orders placed on the eshop.c2g.fr website will only be binding upon our company once they have been confirmed by return email with an order acknowledgment.
Only the price indicated upon placing the order will apply and may under no circumstances be replaced with any other price published by our company.
The prices indicated on C2G's eshop.c2g.fr website are only valid for orders placed using the means of communication stipulated by the website.
Orders must contain the Customer's contact details (business name, first name, last name, telephone number and email address). Canceled orders will be subject to a cancelation fee.
The process for placing an order on the eshop.c2g.fr website involves the Customer submitting an initial online "quotation request". The quotation must then be accepted and approved by C2G (Section 4 of these terms and conditions). The acceptance that C2G - Soudage Innovation emails to the Customer provides access to all the prices published on the website. Authorized customers are then free to place orders and pay for products online.
8. INTELLECTUAL PROPERTY
The products, texts and illustrations presented by C2G on the website are protected worldwide by copyright and intellectual property laws. Such products, texts and illustrations may not be reproduced, either in whole or in part, without formal authorization from C2G - Soudage Innovation. Any unauthorized reproduction will therefore constitute an act of infringement and may result in legal action. The plans, drawings and technical documentation are the property of C2G and may under no circumstances be disclosed to third parties without written authorization from C2G
9. TERMS OF PAYMENT
Unless otherwise specifically indicated on the invoice, payment is due upon placing the order without any discount available.
Payment may be made by Carte Bleue, Visa and MasterCard via the CYBERPLUS PAIEMENT system and the 3D Secure program.
If customers have a "deferred payment account" (see Section 5) with C2G - Soudage Innovation, including credit insurance and a credit line, payment terms are set at 45 days from the invoice date by wire transfer (in accordance with France's Law on the Modernization of the Economy).
Any past due invoices will automatically be subject to the imposition of interest charges at the rate of 18% accruing from the due date, without any need for C2G to first issue a reminder. In case of non-payment by the due date, all other sums due will additionally become immediately payable, irrespective of the agreed term. In pursuance of Section D.441-5 of France's Commercial Code, the Customer shall automatically be liable to pay €40 by way of compensation for the recovery costs as of the first day late, irrespective of the time applicable to the transaction.
C2G reserves the right to suspend all of the Customer's current orders, with or without prior notice, until such time as the Customer has paid all sums due in full, and the right to repossess the products supplied.
10. DELIVERIES
Our prices are quoted ex-works. Shipping costs are calculated automatically and notified to the Customer when placing the order.
All registered orders are shipped the next working day with postage and packing included to the address provided by the Customer, subject to availability and special circumstances. Delivery times are provided for guidance only, and the Customer may in no way cancel the order or claim damages if delivery times are not met.
Goods are transported at the buyer's risk, irrespective of the mode and terms of transport. The buyer is responsible for checking the goods upon delivery by the carrier and reporting any missing, incorrect or damaged items.
11. WARRANTY
Claims will only be acknowledged if made within one week of receiving the goods. Complaints must include the invoice number and date. C2G disclaims all liability for any complaints not made within the specified time. If C2G considers the goods supplied to be defective following a reassessment, C2G will issue a pick-up order, and the goods must be returned in appropriate packaging. In case of a defect in material or workmanship, C2G will only be liable to replace the goods or refund the invoiced value, at its sole discretion, excluding any other liability whatsoever and only in cases where the buyer's complaint has been made in the month following delivery. The end user is solely responsible for how the goods purchased are used. C2G will in no way be held liable.
12. RETENTION OF TITLE AND TRANSFER OF RISKS
The Parties specifically agree that C2G will retain all title to the goods sold until the Customer has paid the agreed price in full. Irrespective of how the supplied goods have been used, C2G retains the right to claim ownership of such goods, regardless of their condition and the current possessor. Any goods resold or incorporated into the equipment transferred by the Customer to a third party will remain the property of C2G to the extent of the sums due, insofar as such transfers are deemed to have been performed on behalf of C2G. C2G reserves the right to repossess any unpaid goods or for which only partial payment has been received. The buyer shall take every measure to cover the risk of loss or destruction of the goods and must provide the vendor, upon request, with evidence that it has taken out coverage for such risks from a reputable and solvent insurance company.
13. DATA PROTECTION AND USE
To deliver the best possible service to its customers, C2G uses certain types of information received from customers for professional purposes only. In accordance with France's Data Protection Act 1978, you have the right to access and amend your personal information by contacting C2G at the following address: 29 rue de Laplatte, ZA des Granges, 42600 MONTBRISON, France.
14. JURISDICTION
Saint-Etienne commercial court will have exclusive jurisdiction and venue over any disputes arising out of or in connection with transactions subject to these standard terms and conditions of sale.
C2G - Soudage Innovation, eshop.c2g.fr, agrees to comply with the code of professional conduct laid down by FEVAD (France's E-Commerce and Distance Selling Federation).
